Recharacterization: Meaning in a Merchant Cash Advance
Recharacterization is when a court looks past a contract's label and treats a merchant cash advance as a loan rather than a purchase of receivables. It usually turns on whether the funder truly shared the risk that the business's sales would fall short.
What does recharacterization mean?
An MCA contract says it's a sale of future receivables. Courts don't always take that at face value. If a dispute reaches court, a judge can examine how the deal really works: whether the payment was able to be reconciled to actual sales, whether there was a fixed end date and whether the funder had the right to recover everything even if the business failed through no fault of the owner. If the answers point to a loan, the court can treat it as one.
