Settlement Agreement: Meaning in a Merchant Cash Advance

A settlement agreement is a written contract resolving a dispute, where both sides agree on what will be paid or done and usually release further claims. In MCA disputes, it often sets a reduced payoff or a payment plan.

What does settlement agreement mean?

When a funder and a merchant can't keep the original deal going, they sometimes agree to a new one: a lump sum less than the balance, a payment schedule or a mix. The settlement agreement puts that in writing. Once it's signed and followed, the original claims are resolved.

Why does settlement agreement matter to your business?

A good settlement can end a stressful dispute and let the business move on. A poorly written one can leave claims open or allow the funder to reinstate the full balance if you miss a single payment. Read every line, and consider having an attorney review it.

What should you look for?

  • The exact amount and schedule.
  • What happens if you miss a payment.
  • Whether it releases the personal guarantee.
  • Whether the funder will file a UCC termination and stop collection efforts.
  • Whether any judgment will be satisfied.

Why get it in writing first?

Never pay a settlement amount based on a phone call. Wait for the signed agreement, then pay exactly as it says. Keep proof of every payment and the funder's written confirmation that the matter is closed.

Do settlements have tax effects?

Forgiven amounts sometimes have tax consequences. Ask your accountant how a settlement affects your return.

Where will you see it?

After default notices or during litigation, often drafted by the funder or its attorney.
