UCC-1 Financing Statement: Meaning in a Merchant Cash Advance
A UCC-1 financing statement is a short public form a funder files with a state's secretary of state to announce that it holds an interest in certain assets of a business. With a merchant cash advance, those assets are usually the receivables the funder bought.
What does UCC-1 financing statement mean?
The form itself is plain. It names the debtor (your business), the secured party (the funder or its agent) and a description of the collateral. It doesn't show the amount advanced, the factor rate or the payment. Anyone can search the state's database and see that the filing exists, which is the whole point: it puts other creditors on notice that someone already has a claim.
Why does UCC-1 financing statement matter to your business?
A UCC-1 on your business shows up when a bank, an equipment funder or a landlord runs a lien search. It can slow down or block a new loan until the older filing is explained or removed. Knowing what is on file before you shop for new money saves time and avoids surprises in underwriting.
What should you check on the form?
- The legal name of your business, spelled exactly as it is registered.
- Who the secured party is. Some funders file through a service company, so the name on record is not the brand you dealt with.
- How broad the collateral description is. "All receivables" is narrower than "all assets."
What happens after payoff?
Once the advance is paid in full, the filing should be ended with a UCC-3 termination. Ask for it in writing with your zero balance letter, then search the state database a few weeks later to confirm it is gone.
Where will you see it?
In the merchant agreement, usually in a clause that authorizes the funder to file. In the state database, often within a few days of funding. In a lien search that another funder or a bank runs on your file.
